Volkswagen board moves closer to Porsche merger

The Philadelphia Enquirer -- The Associated Press -- Frankfurt -- German carmaker Volkswagen AG said Friday its supervisory board had approved certain agreement contracts for the planned merger with German sportscar builder Porsche, taking the companies one step closer to completing the deal.

The contracts set out the organizational, structural and legal details of the agreement which was first announced in May and which is hoped to be concluded in 2011.

The next step of the process will be VW shareholders approving that the company take on a 49.9 percent stake in Porsche AG through the issuance of new shares. An extraordinary VW shareholder's meeting is planned for Dec. 3 to take a vote on that issue.

"The creation of an integrated automotive group with ten strong brands follows a compelling industrial logic," VW, based in Wolfsburg, said . . .

This move actually cleans up a corporate mess begun several years ago. From Wikipedia

"As of 2005, the extended Porsche and Piƫch families controlled all of Porsche AG's voting shares. In early October 2005 the company announced acquisition of an 18.53% stake in Volkswagen Group (VWAG), and disclosed intentions to acquire additional VWAG shares in the future. As of June 2006, the Porsche AG stake in VWAG had risen to 25.1%, giving Porsche a blocking minority, whereby Porsche can veto large corporate decisions undertaken by VWAG."

It was the unusual case of the small company exerting control over a much larger one. Hopefully, this will clean up the mess and allow both companies to move forward with their products and end their squabbles.

From what I read, this will make VW the largest car co.
As for the two not mixing...actually historically & technically they do.

I'm not sure what this has to do with gas/oil prices, but maybe Porsche will let VW put one of its engines in the Beetle.

Back to where these two started. Dr. Ferdinan split off the company and started building Porches.

They revamped the Bug, let's see a bus.

Back during the 1960's era of overwhelming VW popularity a mechanic friend of mind had a Porsche-powered VW minibus-framed pickup truck that he rigged as a small car tow truck. It was capable of 70mph in second gear.

Will to get things rolling maybe GM, Ford and Chrysler should all join forces and sell only the best and reduce the prices and make all their cars safer. Sell cars with full service they all ready paid for as long as they own their cars. Include oil change and all repairs for life. You have buy tires and gas.

It makes historical sense, if nothing else, since the original Volkswagen was designed by Dr. Ferdinand Porsche in the 1930s.

You definitely saw the commonality of design years ago when it was pretty easy to transplant a Porsche 356 engine and transmission into a Beetle for a real sleeper.

As I recall VW tried to take over Porsche, got overextended, and now Porsche will end up taking over VW. (Don't bite off more than you can chew?)

It would appear the "american work ethic" has been greatly degraded if not eliminated under the "control hungry" democrat lead, and other countries along with foreign based corporations are rapidly taking advantage of the vacuum.

I can't say this is overly surprising. VW already owns Audi, and the recession is putting pressure on German automakers to consolidate.

And, I must admit, having one company make both the VW Beetle and the Porsche Carrera is pretty cool.

All part of the smoke and mirrors in the auto industry numbers to make VW on top with the purchasing of Porsche. The funny thing is that it was reported that Porsche attempted to buy out VW earlier in the year. Maybe if Toyota wants to play that game they could say that they are buying Honda or Nissan and put their figures together too.

They passed Toyota as the #1 automaker i nthe world and now they are going to expand at the high end of the market. The US sure came out on top in WWII.
